CardFolio Terms & Conditions

3. Eligibility

To use CardFolio, you represent and warrant that:

• You are at least 18 years old
• You are a resident of India
• You are capable of entering into a legally binding contract
• You are not prohibited under any applicable law from using digital marketplaces

We may conduct verification including:

• Mobile OTP
• Email verification
• KYC checks
• PAN validation (if applicable)
• Location checks (IP or telecom-based)

Failure to meet eligibility criteria may lead to suspension or termination.

4. Nature of the CardFolio Platform

CardFolio is a digital collectibles marketplace, not a wallet, not a gambling platform, and not an investment service.

The Platform provides functionality for:

• Listing collectibles
• Buying and selling collectibles
• Redeeming physical collectibles for shipping
• Accessing product descriptions, images, histories, and metadata
• Viewing community activity such as purchases, sales, and user-generated content
• Using vending-machine-style randomized pack openings (if offered)

4.1 Facilitator Role

Unless explicitly stated otherwise:

• CardFolio is not the seller of items listed by users
• CardFolio does not guarantee authenticity, condition, or valuation of user-listed items
• CardFolio acts only as a technology platform that facilitates user-to-user transactions

4.2 No Physical Storage

CardFolio does not offer long-term storage of physical collectibles.

"Redeem" means:

• The user requests shipping of the item to their address
• CardFolio arranges fulfilment only for items that belong to the user
• Shipping charges are non-refundable unless the product qualifies under the refund policy

5. User Accounts & Security

To access specific features on CardFolio, you must create an account by providing:

• Full name
• Mobile number
• Email address
• Address for shipping
• Optional/additional KYC information such as ID proof, PAN, or photo

By creating an account, you agree to:

• Provide accurate and truthful information
• Maintain the confidentiality of your login credentials
• Immediately notify CardFolio of unauthorized access
• Be solely responsible for all actions performed through your account

CardFolio reserves the right to:

• Reject account creation
• Request KYC verification at any time
• Suspend accounts with suspicious activity
• Terminate accounts that violate Terms or laws

6. Payments & Fees

All payments on CardFolio are processed by third-party payment providers.

You acknowledge that:

• CardFolio does not store UPI, card numbers, or other sensitive payment information
• Your bank may impose additional charges
• You must ensure sufficient funds
• Payment failures are handled by the payment gateway, not CardFolio

Fees applicable may include:

• Platform fee
• Commission on sales
• Shipping fee
• Processing fees
• Convenience charges

All applicable fees are shown during checkout.

7. Marketplace Transactions

7.1 User Responsibilities

Sellers must:

• Ensure product descriptions are accurate
• Not list counterfeit or misleading items
• Comply with all laws
• Not manipulate prices or market behaviour

Buyers must:

• Confirm product details before purchasing
• Understand that prices fluctuate
• Agree that most transactions are final (as per Refund Policy)

7.2 CardFolio's Limited Liability

We do not:

• Guarantee authenticity
• Guarantee condition or grading accuracy
• Mediate disputes unless required
• Guarantee delivery timelines from third-party logistics partners

7.3 Finality of Marketplace Transactions

Most purchases are non-refundable, except under specific cases defined in the Refund & Cancellation Policy.

8. Redemption & Shipping

When a user selects "Redeem," it means:

• They are requesting the item to be shipped
• Users must provide accurate delivery details
• Incorrect addresses may lead to failure of delivery and no refund
• Shipping charges are non-refundable unless otherwise permitted

CardFolio is not liable for:

• Delays caused by courier partners
• Damage caused during shipping unless explicitly covered
• Loss after successful delivery

9. User Conduct

Users agree NOT to:

• Commit fraud or chargeback abuse
• Manipulate sales or platform data
• List illegal or counterfeit items
• Harass staff or other users
• Create multiple accounts
• Misuse referral or promotional benefits
• Reverse engineer or interfere with the platform

Violation may result in account suspension or termination.

10. Intellectual Property

CardFolio, including but not limited to:

• the app
• website
• UI/UX elements
• branding, logos, trademarks
• product images provided by the Company
• product metadata
• text, graphics, artwork, software
• databases, code, and design components

is the exclusive property of PeelBlue Private Limited or its licensors.

You agree that:

• You do NOT acquire any ownership rights by using CardFolio.
• You may not copy, reproduce, re-sell, publicly display, or distribute any CardFolio content without written consent.
• You may not reverse engineer, decompile, or modify any part of CardFolio.
• You may use CardFolio content solely for personal, non-commercial display and usage.
• All trademarks, logos, and service marks appearing on CardFolio belong to PeelBlue or respective rights holders.

11. User-Generated Content

Certain parts of CardFolio may allow you to submit:

• Reviews
• Photos
• Listings
• Descriptions
• Social features (if introduced in future)
• Communication with sellers/buyers
• Contest entries (if ever introduced)

This content is referred to as "User Content."

By submitting User Content, you grant the Company:

• A worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, host, display, reproduce, modify, create derivative works, publish, and distribute your content.
• The right to use your content for marketing, PR, legal, operational, or product improvement purposes.
• Permission to use your name, username, likeness, or profile elements associated with submitted content.

You waive all moral rights over your User Content.

User Content Rules

You agree NOT to submit content that:

• Is defamatory, abusive, obscene, hateful, or discriminatory
• Degrades or tarnishes CardFolio
• Contains nudity, explicit content, drugs, smoking, or illegal activity
• Contains copyrighted material you do not own
• Violates privacy or publicity rights
• Contains malicious code, malware, phishing links
• Advertises third-party services
• Misleads or misrepresents any collectible's condition, authenticity, or origin

We reserve the right (but not obligation) to monitor, edit, or remove any User Content at our sole discretion.

12. Code of Conduct

You agree to use CardFolio responsibly and lawfully.

You must NOT:

• Use bots, scrapers, automation, or scripts
• Attempt to bypass security or gain unauthorized access
• Manipulate marketplace prices, sales history, or trade patterns
• Commit fraud, identity theft, or submit fake KYC
• Upload viruses, trojans, or harmful files
• Impersonate others
• Sell stolen goods or counterfeit items
• Abuse referral programs
• Spam users or support channels

Violation of this Code may result in:

• Account suspension
• Account termination
• Removal of listings
• Referral bonus reversal
• Legal action under Indian cyber law

13. Indemnification

By using CardFolio, you agree to indemnify and hold harmless:

• PeelBlue Private Limited
• Its directors, officers, employees, investors, agents, and affiliates

from any losses, damages, claims, or liabilities arising from:

• Your use of CardFolio
• Your User Content
• Your transactions
• Your violation of these Terms
• Your breach of law or third-party rights
• Fraud, misrepresentation, or misconduct

This clause survives the termination of your account.

14. Disclaimer of Warranties

To the fullest extent permitted by Indian law:

CardFolio is provided on an "AS IS" and "AS AVAILABLE" basis.

We do NOT guarantee that:

• The platform will function without errors or interruptions
• Transactions will always complete successfully
• Marketplace data (prices, grades, valuations) will be accurate
• The platform will be free of malware or vulnerabilities
• Third-party services (payment, shipping, analytics) will always perform reliably
• Listed collectibles are authentic or match seller descriptions

You use CardFolio at your own risk.

15. Limitation of Liability

To the maximum extent allowed under Indian law:

PeelBlue Private Limited shall not be liable for:

• Loss of money or collectible value
• Loss caused by other users (fraud, misrepresentation, disputes)
• Shipping delays or courier errors
• Data loss or service interruptions
• Unauthorized access due to your negligence
• Payment gateway issues
• Loss of business, goodwill, or profits

Our total liability under any circumstance will not exceed the amount you paid to CardFolio in the past 90 days, excluding shipping fees.

This limitation survives termination.

16. Communication Policy

By using CardFolio, you consent to receive:

• Transactional notifications
• Service-related alerts
• KYC or verification messages
• Important product changes or policy updates

You may also choose to receive:

• Promotional offers
• New feature announcements
• Marketing communications

You may opt out of non-essential communications anytime.

Note: SMS/Email delivery is dependent on telecom and email providers. The Company is not liable for delays or failures.

17. Electronic Communications & Security

You acknowledge that:

• Internet-based transmissions may not always be secure
• Data may be intercepted, lost, or altered in transit
• CardFolio will not be liable for security breaches beyond our reasonable control

You are responsible for:

• Using secure networks
• Updating your device and app
• Protecting your login credentials
• Verifying suspicious links or messages claiming to represent CardFolio

Nothing transmitted through CardFolio shall be considered confidential unless explicitly stated.

18. Accuracy & Content Updates

While we strive for accuracy:

• Product descriptions
• Prices
• Fees
• Stock status
• Images
• Offers
• Metadata

may contain errors or require updates.

We reserve the right to:

• Modify content
• Update images
• Correct inaccuracies
• Change product availability

We are not obligated to update historical information.

19. Verification Requirements

All users on CardFolio are subject to identity verification at any time.

CardFolio may request:

• Government-issued ID (Aadhaar, PAN, Driving License, Passport)
• Address proof
• Selfie verification
• Proof of ownership for listed collectibles
• Additional documents in case of suspicious activity

You agree that:

• Documents submitted are true and authentic
• Verification timelines must be followed
• Failure to comply may result in account suspension or termination

The Company may:

• Block transactions
• Withhold shipments
• Freeze listings
• Cancel orders

until verification is complete.

We reserve the right to reject verification documents at our sole discretion.

20. Termination

We may suspend or terminate your access to CardFolio immediately and without prior notice if:

• You violate these Terms
• You submit false information or fraudulent documents
• You misuse the marketplace
• You engage in harassment, abuse, scams, or illegal activity
• You attempt to circumvent platform rules
• Required by law enforcement or regulatory authorities

Upon termination:

• Your access to your account and data may be restricted
• Active listings may be removed
• Pending transactions may be cancelled
• You are not entitled to compensation for any losses resulting from termination

You may stop using CardFolio anytime.

All clauses related to intellectual property, liability, indemnification, dispute resolution, and governing law survive termination.

21. Links to Third-Party Websites

CardFolio may contain links to:

• Courier services
• Payment gateways
• Verification partners
• External information sources
• Advertisers or partners

These external sites:

• Are not controlled by CardFolio
• Have independent terms and privacy policies
• May change without notice
• Are accessed at your own risk

We are not responsible for:

• Content outside CardFolio
• Accuracy of third-party information
• Security of third-party websites
• Loss or damage resulting from third-party actions

The presence of a link does not imply endorsement.

22. Arbitration, Governing Law & Jurisdiction

A. Governing Law

These Terms are governed by and construed in accordance with the laws of India.

B. Arbitration Agreement

Any dispute arising out of or relating to CardFolio or these Terms shall be resolved through binding arbitration under the:

Arbitration and Conciliation Act, 1996 (India)

Key Rules:

• Arbitration shall be held in Chennai, Tamil Nadu
• The language of arbitration shall be English
• The arbitral tribunal will consist of one (1) sole arbitrator appointed in accordance with applicable rules
• All claims and counterclaims shall be consolidated into a single proceeding
• Costs of arbitration shall be shared equally unless the arbitrator decides otherwise
• The arbitral award will be final and binding on all parties

C. Court Jurisdiction (If Needed)

Nothing prevents a party from seeking injunctive or interim relief before courts in Chennai, which shall have exclusive jurisdiction.

23. General Provisions

A. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force.

B. No Waiver

Our failure to enforce any right does not constitute a waiver of future enforcement.

C. Assignment

CardFolio may assign these Terms (in full or in part) without notice. Users may not assign rights or obligations without written consent.

D. Entire Agreement

These Terms, together with the Privacy Policy, constitute the full agreement between you and CardFolio.

E. Further Actions

Users agree to sign additional documents if needed to give effect to these Terms.
